1. Acceptance of Terms
By accessing and using this website, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.
2. Services
Heuvera provides software consultancy, product development, and related services. Specific project terms, deliverables, timelines, and pricing will be detailed in separate agreements or statements of work.
3. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in work created by Heuvera shall be transferred to the client upon full payment. Pre-existing intellectual property and proprietary tools remain the property of their respective owners.
4. Confidentiality
We treat all client information as confidential. We will not disclose any confidential information without your consent, except as required by law. We are happy to sign NDAs upon request.
5. Payment Terms
Payment terms will be specified in individual project agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges.
6. Limitation of Liability
Heuvera shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.
7. Termination
Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the termination date.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.
